Terms of Service

1. Acceptance of terms

By accessing or using the Elir platform (“Service”) provided by Scimus US (“Company,” “we,” “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

These Terms apply to all users of the Service, including registered account holders, team members invited to an organization, and visitors to our website.

2. Description of service

Elir is a software-as-a-service (SaaS) platform that aggregates data from CRM, marketing, analytics, and operational systems to provide revenue attribution, funnel analytics, pipeline management, and financial insights. The Service is accessed at my.elir.app.

We may modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes when practicable.

3. Accounts & registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity that occurs under your account.
  • You must be at least 18 years old to use the Service.
  • One person or legal entity may maintain one active workspace (organization) per account.

4. Your data

You retain all ownership rights to the data you submit to or sync through the Service (“Your Data”). We do not claim ownership of Your Data.

You grant us a limited, non-exclusive license to store, process, and display Your Data solely for the purpose of providing the Service to you. This license ends when you delete your account or request data deletion.

You are responsible for ensuring you have the right to share any data you connect through third-party integrations. We are not responsible for data accuracy from third-party sources.

5. Communications consent

By providing your email address or phone number — whether during registration, a demo request, or any other interaction with us — you consent to receive communications from us by email, phone, and SMS. These communications may include:

  • Responses to your inquiries and demo follow-ups
  • Service updates, product announcements, and scheduling messages
  • Transactional notifications (security alerts, billing, maintenance)

You may opt out of promotional communications at any time by replying STOP to SMS messages, using the unsubscribe link in emails, or contacting us. Standard message and data rates may apply for SMS. See our Privacy Policy for full details.

6. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Use the Service to store or transmit malicious code, viruses, or harmful content
  • Interfere with or disrupt the integrity or performance of the Service
  • Use automated means (bots, scrapers) to access the Service except through our documented APIs
  • Resell, sublicense, or redistribute access to the Service without our written consent

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

7. Intellectual property

The Service, including its design, code, features, documentation, and branding, is owned by Scimus US and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand assets without written permission.

Feedback, suggestions, or feature requests you provide may be used by us to improve the Service without any obligation to you.

8. Service availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service is provided “as is” and “as available.” We may perform scheduled maintenance with reasonable advance notice when possible.

We are not liable for any downtime, data loss, or service interruptions caused by factors outside our reasonable control, including third-party API outages, network failures, or force majeure events.

9. Payment & billing

Certain features of the Service may require a paid subscription. Payment terms, pricing, and billing cycles will be communicated to you before you incur any charges. All fees are non-refundable unless otherwise stated in a written agreement.

We reserve the right to change pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

10. Limitation of liability

To the maximum extent permitted by law, Scimus US and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, data, profits, or business opportunities, arising from your use of or inability to use the Service.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Scimus US, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Data you submit through the Service that you did not have the right to share

12. Termination

You may terminate your account at any time by contacting us or through the account settings in the application. We may terminate or suspend your access at any time for violation of these Terms or for any other reason with reasonable notice.

Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy (within 30 days of termination, plus up to 14 days for backup expiration).

13. Governing law & disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in Wilmington, Delaware, under the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through a notice in the application at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
